Wills and Succession Law

A Will is a legal written document duly executed and witnessed, which communicates the wishes of a deceased on how his estate (whether movable or immovable) will be distributed upon his passing.

We strongly recommend drafting a will if you posses estate for the avoidance of unnecessary procedures and expenses associated with the Law of Intestacy (dying in the absence of a will).

If a family member has passed away and has made a valid will, his assets must be distributed in accordance with the instructions stated in the will, subject always to the Forced Heirship provision of the law , such a process is known “Probate”.

In the event that the family member has not left a valid will to deal with his assets, then an administrator or administrators may be appointed to deal with the distribution of assets as per relevant the Administration of Estates Law Cap. 189. As per the Administration of Estates Law Cap 189 the “Administration” – includes all letters of administration of the estate of a deceased person, whether with or without a will annexed, and whether granted for general, special or limited purposes. An “Administrator” – means a person to whom a Court has granted letters of administration or letters of administration with will annexed. There are therefore certain cases where an Administrator can and must be appointed in order to manage and distribute a deceased estate.

Advantages of registering a ship under the Cyprus Flag

Cyprus plays a prominent role as a leading shipping and ship management centre with a sound maritime infrastructure, favourable tax regime and competitive ship registration and tonnage tax rates. The Cypriot maritime registry is today one of the largest in the EU and the 10th largest worldwide, as well as the biggest third party ship management centre in the EU. On 29th April 2010 the Cyprus Parliament enacted the long awaited new shipping legislation. The new Merchant Shipping Law, which applies from 1 January 2010, extended significantly the scope of the Tonnage Tax (TT) regime and enhanced the position of Cyprus as a maritime centre.

Ownership requirements of a vessel under Cyprus flag

More than half of the shares (50%) of the ship must be owned by Cypriot citizens or by citizens of Member States of the EU or of the European Economic Area who in the instance of not being permanent residents of the Republic will have to appoint an authorised representative in the Republic of Cyprus, or

The total (100%) of the shares of the ship must be owned by corporations, which operate in accordance with the laws of the Republic and have their registered office in the Republic of Cyprus, or they operate in accordance with the laws of any other EU or EEA Member State and have their registered office, central administration or principal place of business within the European Economic Area or by corporations registered outside the EU or the EEA but controlled by Cypriot citizens or citizens of a Member State. In both the latter cases they must have either appointed an authorised representative in Cyprus or the management of the ship must be entrusted in full to a Cypriot or Community ship management company in Cyprus.

Applications for registration of ships must be made through law firms in Cyprus.

At the time of its registration, the ship must be surveyed by an approved classification society.

An overview on Cyprus Ship Registration Cyprus plays a prominent role as a leading shipping and ship management centre with a sound maritime infrastructure, favourable tax regime and competitive ship registration and tonnage tax rates. The Cypriot maritime registry is today one of the largest in the EU and the 10th largest worldwide, as well as the biggest third-party ship management centre in the EU. On 29th April 2010 the Cyprus Parliament enacted the long awaited new shipping legislation. The new Merchant Shipping Law, which applies from 1 January 2010, extended significantly the scope of the Tonnage Tax (TT) regime and enhanced the position of Cyprus as a maritime centre.

Incorporation of a shipping company

Choosing to register your yacht under a company in your jurisdiction of choice is a lower risk option as a limited liability company is considered a separate legal entity, providing an extra layer of protection. We handle all paperwork and procedure and arrange for the incorporation of your company with a name of your choosing. The total of 100% of the shares of the Yacht should be owned by one or more corporations which have been established in the jurisdiction the Yacht will be registered in.

Economic Benefits

Ownership options under the Cyprus flag

A ship may only be registered in the Register of Cyprus Ships if:

1. More than fifty per cent (50%) of the shares of the ship are owned:

How to Reinstate a company in Cyprus

Reinstate a Company

In the event that a company has been liquidated or struck off the Registrar of Companies (hereinafter referred to as “ROC”), any interested party has the ability though a court order to reinstate a company.

The Process

  1. The accountants prepare and finalise accounts for all pending year that have not been submitted to the ROC.
  2. We prepare and submit a Court Application requesting that the company be reinstated. A hearing is held on a set date and the Judge needs to be satisfied that there are reasonable ground to issue the relevant order.
  3. Once we obtain the reinstatement order it is submitted together with required HE32 and accounts.
  4. The outstanding levy is paid.
  5. The ROC reinstates the company. The Reinstatement fees for strike off are at €500 (in addition to the outstanding amount of the annual levy) and a penalty of €750 where a company is re-instated after the two-year period.

Benefits of setting up a company in Cyprus

  1. The corporate tax rate in Cyprus is at 12,5 % which is one of the lowest in the European Union (EU). Once set up correctly your international tax planning could have substantial tax benefits.

Company information and pre-incorporation information

We will require at least 2 alternative names which you wish the company to be named that must be accepted by the Registrar of Companies. In the event that a company name is similar with an existing company or brand name, then the Registrar of Companies will not accept that name without the prior consent of that company or owner of the brand name.
The company must have a registered office address within the Republic of Cyprus. At this location, the company shall keep an updated register showing the directors, secretaries and shareholders.

The company must have a minimum of one director which can also be a legal entity. Although there are no requirements that the directors are local, we strongly advise that for various reasons.

The company must have at least one shareholder the records of which will be held in the Registrar of Companies as public records. In the event that a shareholder does not wish to be shown in the register of members, nominee shareholders may be appointed that will act as trustees on behalf of the ultimate beneficial own.

We will require the intended activities of the company to make confirm the legality of the said activities within the requested jurisdiction as well as due diligence purposes.

The Secretary is an appointed officer of the company which can take the form of a legal entity. The Secretary is responsible to maintain the minutes of the company and keep updated the company’s registry in the Registrar of Companies.

Our companies are usually incorporated with a standard authorized and issued share capital of €1.200 of 1.200 shares of €1,00 each and is considered as fully paid up.
